Lucuadro License

1. Acceptance

This license is granted by LUCUADRO to any individual or organization that downloads, purchases, accesses, or uses digital asset produced by LUCUADRO. Downloading or using any LUCUADRO asset constitutes full acceptance of the terms set out in this document. This license applies to all digital assets in the LUCUADRO product range, including but not limited to: synthetic character profiles and persona packages, image and photograph sets, clothing and attire sets, pose and expression sets, scene, room, and environment assets, icon and graphic sets, AI prompt files and brief documents, text-based profile and persona documents, and any other digital asset produced or distributed by LUCUADRO.

If you do not agree to these terms, do not download or use LUCUADRO assets.

2. Definitions

Asset

Any digital file or set of files produced and distributed by LUCUADRO, in any format, including images, documents, prompt files, profile texts, and any combination thereof.

Licensee

The individual or organization that has downloaded, purchased, or accessed any LUCUADRO asset.

End Product

A work created by the Licensee that incorporates one or more LUCUADRO assets as a component. The end product must contain substantial original creative contribution from the Licensee, as defined in Section 4.

Single Commercial License

Tier 1. A license granted to one natural person. Default license, active upon download or purchase.

Corporate License

Tier 2. An extended license covering full organizational use. Available on request only and activated by written confirmation from LUCUADRO.

3. License Grant

LUCUADRO grants the Licensee a non-exclusive, non-transferable, perpetual license to use LUCUADRO assets within the terms of this document. This license does not transfer ownership of any asset or any underlying intellectual property to the Licensee.

The Licensee may use LUCUADRO assets to create end products for their own use and for their customers, provided the conditions in Section 4 are met.

This license is comparable in scope to a standard stock asset license: the Licensee receives the right to use the asset as a component in their own work, not the right to own, control, or redistribute the asset itself.

4. Creative Minimum and Derivative Works

A LUCUADRO asset may be incorporated into a commercial end product only if the Licensee has made a substantial and genuine creative contribution to that end product. The LUCUADRO asset must not be the primary or dominant component of the end product as delivered to the Licensee’s customer or audience.

The principle is this: LUCUADRO assets are raw material. The Licensee’s creative work is what produces the final product. If the end product could be described as a LUCUADRO asset with minor or superficial additions, the creative minimum has not been met.

What Meets the Creative Minimum:

The following are examples of use that meet the creative minimum. They are illustrative and not exhaustive.

  • A synthetic character image is combined with an environment, attire, props, and a specific scene composition to produce a training or marketing visual. The final image is the Licensee’s product.
  • A clothing set, pose, and character are combined and rendered into a finished photograph used in a presentation, course, or campaign.
  • AI prompt files or persona brief documents are used as inputs to generate original written content, scripts, or training materials. The generated content is the Licensee’s product.
  • A character profile is used as source material for a learning module, simulation, or facilitation guide. The module is the Licensee’s product.
  • Scene and environment assets are combined with character images, graphic overlays, and copy to produce a finished design. The design is the Licensee’s product.
  • Icon sets are incorporated into a broader interface, document, or visual system alongside the Licensee’s own design work.

What Does Not Meet the Creative Minimum:

The following uses do not meet the creative minimum and are not permitted under this license.

  • Distributing, reselling, or making available any LUCUADRO asset in its delivered form, whether for free or for payment, with or without minor changes such as resizing, recoloring, or renaming.
  • Bundling LUCUADRO assets with minimal additions and selling or distributing the bundle as a product, where the LUCUADRO asset is the primary value of the bundle.
  • Publishing AI prompt files, persona documents, or brief texts as-is, or with only surface-level edits, as original content or as a product.
  • Using LUCUADRO images or photographs as stock assets in a stock library or asset marketplace, in their delivered form or with only minor processing applied.
  • Extracting individual components from a LUCUADRO asset set and redistributing them as standalone assets.

5. Scope of License Tiers

Tier 1: Single Commercial License:

The Single Commercial License is the default. It is granted to one named natural person and may not be shared with any other individual, team, or organization. Under Tier 1, the Licensee may not store assets on any system accessible to more than one person, distribute assets within their organization, or make assets available to colleagues, partners, or contractors.

Tier 2: Corporate License:

The Corporate License extends use rights to the full legal entity of the Licensee organization. It covers employees and authorized contractors working within the organization, for the Permitted Purpose. The Corporate License is not active by default. It requires written confirmation from LUCUADRO. To request a Corporate License, contact LUCUADRO via www.lucuadro.com. All restrictions on redistribution and creative minimum requirements apply equally under Tier 2.

6. What Is Never Permitted

The following are prohibited under all license tiers without exception:

  • Transferring, sublicensing, or reselling this license or any rights under it to another party.
  • Distributing LUCUADRO assets to any third party outside the license scope, in whole or in part, for free or for payment.
  • Using any LUCUADRO asset in any way that is illegal, defamatory, harassing, or discriminatory under applicable law.
  • Using any LUCUADRO asset to misrepresent, impersonate, or create false associations with any real individual, organization, or event.
  • Using LUCUADRO assets to generate, train, or fine-tune AI models beyond the scope explicitly agreed with LUCUADRO in writing.
  • Removing or obscuring any attribution, metadata, or identifier associated with a LUCUADRO asset.
  • Claiming ownership of any LUCUADRO asset or representing it as original work produced by the Licensee.

7. Intellectual Property

LUCUADRO retains all intellectual property rights in all assets it produces, including but not limited to the underlying production systems, methodologies, prompt engineering approaches, vocabulary systems, visual styles, and production pipelines. The Licensee receives a limited right of use only, as defined in this document.

Where a Licensee creates an end product that meets the creative minimum defined in Section 4, the Licensee holds the rights to that end product. LUCUADRO retains rights to the component assets used within it. The existence of a LUCUADRO component within an end product does not grant LUCUADRO any rights over the end product as a whole.

8. Indemnification

The Licensee agrees to indemnify, defend, and hold harmless LUCUADRO, its directors, representatives, and successors against any and all claims, damages, losses, costs, and legal fees arising out of or in connection with the Licensee’s use of any LUCUADRO asset. This includes any claim brought by a third party, including the Licensee’s own customers or end users. LUCUADRO bears no liability for how assets are used after delivery.

9. Limitation of Liability

LUCUADRO provides all assets on an as-is basis. LUCUADRO makes no warranties, express or implied, regarding fitness for a particular purpose, merchantability, or non-infringement. To the fullest extent permitted by applicable law, LUCUADRO excludes all liability of any kind arising from or in connection with the use of its assets, including direct, indirect, legal, incidental, consequential, and special damages. Where liability cannot be fully excluded by law, LUCUADRO’s total liability shall not exceed the amount paid by the Licensee for the specific asset that gave rise to the claim.

10. Governing Law

This license is governed by and construed in accordance with the laws of Spain. Any dispute arising out of or in connection with this license shall be subject to the exclusive jurisdiction of the courts of Spain. If any provision of this license is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions continue in full force. This document constitutes the entire license between LUCUADRO and the Licensee regarding the use of LUCUADRO digital assets and supersedes all prior communications on this subject.
